By accessing or using Retrospective.fun ("the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Retrospective.fun is a collaborative platform designed for software development teams to conduct retrospective meetings. The Service provides:

• Session Management: Create and facilitate retrospective sessions using various templates
• Real-time Collaboration: Add notes, vote, group items, and discuss with team members in real-time
• Team Management: Organize participants into teams with configurable settings
• AI-Powered Insights: Optional AI features to analyze patterns and generate suggestions (Pro plans)
• Data Export: Export session data in various formats
• Reminders: Automated email reminders for scheduling retrospectives

3. User Accounts and Registration

3.1 Account Creation

To access certain features, you must create an account. You may register using email/password or through third-party authentication providers (Google). You agree to provide accurate, current, and complete information during registration.

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately at support@retrospective.fun of any unauthorized access
• Ensuring your account information remains accurate and up-to-date

We reserve the right to suspend or terminate accounts that appear to be compromised or in violation of these Terms.

3.3 Account Types

• Free Accounts: Limited features, suitable for individual use or small teams
• Pro Accounts: Enhanced features including AI insights, extended session history, and priority support
• Pro Plus Accounts: Full feature access including advanced analytics, integrations, and dedicated support

4. Acceptable Use Policy

4.1 Permitted Uses

The Service is intended for professional team collaboration, specifically for conducting retrospective meetings and related team improvement activities.

4.2 Prohibited Uses

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Upload, post, or transmit content that is defamatory, obscene, threatening, or infringes on intellectual property rights
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Interfere with or disrupt the Service's infrastructure or other users' access
• Use automated systems (bots, scrapers) to access the Service without our written permission
• Transmit viruses, malware, or any code designed to harm or exploit
• Impersonate any person or entity, or falsely claim affiliation with any person or entity
• Use the Service to send spam, phishing attempts, or unsolicited communications
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell, sublicense, or commercially exploit the Service without authorization

4.3 Content Standards

Content shared through the Service (notes, discussions, action items) should be appropriate for a professional workplace setting. We reserve the right to remove content that violates these standards.

5. User Content and Intellectual Property

5.1 Your Content

You retain all ownership rights to the content you create and share through the Service ("User Content"), including retrospective notes, discussion items, action items, and team data.

5.2 License to Us

By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to:

• Store, process, and display your User Content as necessary to provide the Service
• Create backups and redundant copies for service reliability
• Process content through AI systems when you opt into AI features (see Section 11)
• Generate anonymized, aggregated statistics (no individual data shared)

This license terminates when you delete your content or account, except for backups retained per our data retention policy and any anonymized aggregate data.

5.3 Our Intellectual Property

The Service, including its design, code, features, templates, and branding, is owned by Retrospective.fun and protected by intellectual property laws. You may not copy, modify, or create derivative works without our written consent.

6. Subscription Plans and Payment

6.1 Free Tier

We offer a free tier with limited features. Free accounts may be subject to usage limits and may not include all features available to paid subscribers.

6.2 Paid Subscriptions

Paid plans (Pro, Pro Plus) are billed on a monthly or annual basis. Prices are displayed in USD and may vary by region. All prices are exclusive of applicable taxes unless stated otherwise.

6.3 Payment Processing

Payments are processed through Stripe, a PCI-compliant payment processor. We do not store your full credit card information on our servers. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees.

6.4 Subscription Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will receive a reminder email before renewal.

6.5 Cancellation and Refunds

• Cancellation: You may cancel your subscription at any time through account settings. Access continues until the end of your current billing period.
• Refunds: We offer a 14-day money-back guarantee for first-time subscribers. After 14 days, refunds are provided at our discretion.
• Downgrades: Downgrading to a lower tier takes effect at the next billing cycle. You retain access to premium features until then.

6.6 Price Changes

We may change subscription prices with 30 days' notice. Existing subscribers will be notified via email. Price changes will not affect your current billing period.

7. Team and Organization Use

7.1 Team Administrators

Team administrators have the ability to manage team members, access team-wide data, and configure team settings. Administrators are responsible for ensuring their team members comply with these Terms.

7.2 Data Visibility

Content shared within a retrospective session is visible to all participants of that session. Team administrators may have access to session history and analytics for their team.

7.3 Member Removal

When a team member is removed, their contributions to existing sessions remain visible to the team unless explicitly deleted by an administrator.

8. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.

Key points:

• We process data in accordance with GDPR (for EU users) and CCPA (for California users)
• We do not sell your personal information
• You may request data export or deletion at any time
• Third-party services (Firebase, Azure, Stripe, etc.) have their own privacy policies

9. Service Availability and Modifications

9.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 Modifications

We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for significant changes that affect your use of the Service. Continued use after changes constitutes acceptance.

9.3 Feature Changes

Features included in subscription plans may change over time. We will not remove core features from your plan during your current billing period without offering a comparable alternative or refund.

10. Data Export and Portability

You have the right to export your data at any time:

• Session Export: Export individual sessions in PDF or JSON format
• GDPR Export: Request a complete export of all your personal data
• Account Deletion: Request deletion of your account and associated data

Export requests are typically processed within 30 days. Deletion requests are irreversible.

11. AI Features and Data Processing

11.1 AI-Powered Features

Pro and Pro Plus subscribers may access AI-powered features including pattern detection, smart suggestions, and session insights. These features use Azure OpenAI to process your retrospective content.

11.2 AI Data Usage

• Opt-in: AI features are optional and must be explicitly enabled
• No Training: Your data is NOT used to train AI models
• Processing: Content is processed transiently to generate insights and is not retained by the AI provider
• Embeddings: Numerical representations of your content may be stored to enable cross-session analysis

11.3 AI Limitations

AI-generated insights are suggestions only and should not be treated as professional advice. We are not responsible for decisions made based on AI-generated content.

12. Account Termination

12.1 Termination by You

You may terminate your account at any time through account settings or by contacting us. Upon termination:

• Your access to the Service will cease immediately
• Your data will be deleted according to our retention policy (typically within 30 days)
• Active subscriptions will not be refunded for the remaining period

12.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• We reasonably believe your account has been compromised
• Your account has been inactive for an extended period (with prior notice)

12.3 Effect of Termination

Termination does not affect any rights or obligations that accrued prior to termination. Sections relating to intellectual property, limitation of liability, and indemnification survive termination.

13. Disclaimers

13.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.2 No Guarantee

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

13.3 Third-Party Services

We are not responsible for the availability, accuracy, or content of third-party services integrated with or linked from the Service.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• No Indirect Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.
• Liability Cap: Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.
• Exceptions: These limitations do not apply to liability arising from our gross negligence, willful misconduct, or any liability that cannot be excluded by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Retrospective.fun, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you submit or share through the Service

16. Dispute Resolution

16.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at legal@retrospective.fun to attempt to resolve any dispute informally. We will attempt to resolve disputes within 30 days.

16.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Norway, without regard to conflict of law principles.

16.3 Jurisdiction

Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Norway. However, nothing in these Terms prevents you from bringing claims in your local courts if required by applicable consumer protection laws.

17. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending an email notification to registered users
• Displaying a notice within the Service

Material changes will take effect 30 days after notice. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Retrospective.fun regarding the Service.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

18.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

18.4 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.

18.5 Force Majeure

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
